Roland described the issues and tax considerations to be weighed up in the pre-acquisition phase: share deal vs. asset deal, choosing the country in which to establish an acquisition holding company, share-exchange acquisitions, optimizing the transfer of financial flows from the target, selecting optimal solutions to finance the acquisition, the post-acquisition restructuring phase, allocating finance costs within the group and harmonizing international transaction flows.
